Rupybooks

Terms & Conditions

Version 2026-10-11 · Rupybooks is operated by Leokraft Technologies Private Limited, CIN U72900KA2019PTC120078.

These Terms govern your access to and use of Rupybooks (rupybooks.com and its subdomains, including erp.rupybooks.com). By signing up or using the Service you agree to be bound by them.

1. Legal framework, acceptance & definitions

These Terms and Conditions ("Terms") constitute a legally binding electronic contract within the meaning of the Information Technology Act, 2000, and rules framed thereunder, executed between Leokraft Technologies Private Limited (CIN U72900KA2019PTC120078), a company incorporated under the Companies Act, 2013 ("Company", "we", "us", or "our", which expression shall, unless repugnant to the context, include its successors, permitted assigns, directors, officers, and employees) and the business entity, firm, sole proprietorship, or individual accessing or utilising the Service ("Customer", "you", or "your").

By clicking "I Agree", registering an account, or accessing rupybooks.com or associated subdomains and APIs (the "Service"), you affirm that you have read, understood, and agreed to be bound by these Terms and the incorporated Privacy Policy. If you are accepting these Terms on behalf of a business, you warrant that you have the authority to bind that business. If you do not agree, you must not access or use the Service.

"Authorised User" means any employee, contractor, agent, accountant, or officer designated by the Customer to access the Platform under the Customer's subscription, including personnel accessing the Employee Self-Service (ESS) portal.

"Customer Data" means all electronic data, tax information, GST logs, employee records, payroll figures, financial statements, transactional entries, and content ingested, generated, processed, or uploaded into the Service by or on behalf of the Customer or its Authorised Users.

"Intellectual Property Rights" means all present and future patents, copyrights, trademarks, trade secrets, database rights, domain names, source code, algorithm rights, and all other proprietary rights globally.

"Subscription Term" means the tenure (monthly, annual, or trial) for which the Customer has paid or registered to access the Platform.

2. Account registration, eligibility & security

You represent that you are at least 18 years of age and fully competent under the Indian Contract Act, 1872. Registration using false credentials or impersonation is an offence under Section 66D of the Information Technology Act, 2000.

The Customer assumes total responsibility for maintaining the confidentiality of all login credentials and access keys. Any activity originating from the Customer's credentials — authorised or unauthorised — is deemed the Customer's own act. The Company bears no liability for unauthorised access or breach resulting from the Customer's negligence, credential theft, or compromised local infrastructure.

3. Subscription plans, payment terms & refunds

Current subscription plans and pricing (in INR) are published at rupybooks.com and may be updated from time to time; a price change does not apply to an active billing cycle already paid for. The listed price excludes GST; GST (currently 18%) is added to the listed price and shown separately before you confirm payment, and the GST-inclusive total is what is actually charged via Razorpay.

The Company may offer a non-binding trial period (e.g. 90 days). Upon expiry, access to core modules automatically terminates unless a paid subscription is activated. Data generated during the trial may be permanently purged unless converted to a paid tier.

Subscriptions automatically renew for successive equal terms unless cancelled via the account portal at least 7 days before the billing date.

Except as mandated by express Indian statutory law, all subscription payments are non-refundable. No pro-rata refunds, credits, or adjustments are provided for partial subscription months, unused token allowances, or immediate account cancellations. See our Refund Policy and Cancellation Policy for details.

4. Acceptable use, prohibitions & compliance

The Service is licensed, not sold, solely for the internal, lawful business operations of the Customer in compliance with all Indian laws, including the Companies Act, 2013, the Income-tax Act, 1961, the Central Goods and Services Tax Act, 2017, and applicable state laws.

The Customer shall not, and shall ensure its Authorised Users do not: (a) reverse engineer, decompile, disassemble, or derive the source code, algorithms, or operational flow of the Service; (b) modify, rent, lease, sub-license, resell, or provide bureau/white-label access to third parties; (c) ingest data that violates a third party's intellectual property, privacy, or statutory rights, or contains malicious code; (d) attempt unauthorised penetration testing, vulnerability scans, denial-of-service attacks, or security bypassing of the Platform; (e) use automated scraping, crawling, or data-extraction scripts against rupybooks.com; or (f) engage in fraudulent financial reporting, money laundering, tax evasion, or falsification of accounts using the Platform.

The Company reserves the right to suspend or terminate access immediately, without prior notice or liability, if it detects suspicious activity, a statutory violation, or a breach of these Terms.

5. Customer data, audit & statutory filings

As between the Customer and the Company, the Customer retains exclusive ownership of all rights in Customer Data.

The Customer grants the Company a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, back up, and display Customer Data solely to: (a) operate, maintain, and render the Service; (b) generate aggregated, anonymised benchmarking or analytical data; and (c) comply with law-enforcement or judicial directions.

Rupybooks is an automated processing tool, not a professional advisory firm. The Customer retains absolute, non-delegable responsibility for verifying the accuracy, truthfulness, and legal completeness of all GST returns, e-Way Bills, TDS schedules, balance sheets, and payroll computations. The Company disclaims liability for statutory penalties, tax interest, or legal notices issued by CBIC, the Income Tax Department, the Ministry of Corporate Affairs, or Labour Authorities resulting from Platform outputs.

6. Intellectual property rights & proprietary marks

All right, title, and interest in and to the Platform — including the underlying software, source code, UI/UX designs, workflows, databases, documentation, trademarks ("Rupybooks", "Leokraft"), logos, and enhancements — remain the exclusive property of Leokraft Technologies Private Limited. No implied licences are granted.

7. Disclaimer of warranties & service level expectations

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. The Company disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

No computation, report, or statement generated by the Platform constitutes professional accounting, financial, legal, or tax advice. The Customer must engage licensed Chartered Accountants and legal professionals to verify all outputs before statutory submission.

8. Indemnification

To the maximum extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, shareholders, employees, contractors, agents, and legal representatives ("Indemnified Parties") from and against any claims, lawsuits, demands, liabilities, losses, damages, legal costs, fines, and statutory penalties (including reasonable attorneys' fees) arising out of or in connection with: (a) the Customer's or an Authorised User's access to or use of the Service; (b) inaccuracy, illegality, or infringement contained within Customer Data; (c) breach of these Terms, the Privacy Policy, or applicable law (including the IT Act, the DPDP Act, GST laws, and Labour Codes); (d) disputes between the Customer and its employees, clients, contractors, or tax authorities; and (e) fraudulent, negligent, or illegal acts committed by the Customer.

9. Limitation of liability

To the maximum extent permitted under applicable Indian law, the Company and its directors, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, data, savings, business interruption, or statutory fines, regardless of the theory of liability, even if advised of the possibility of such damages.

The maximum aggregate liability of the Company and its officers or employees for all claims arising out of or relating to the Service, this contract, or the Privacy Policy is strictly limited to the actual subscription fees paid by the Customer in the three (3) months immediately preceding the event giving rise to liability, or INR 10,000, whichever is lower.

10. Service discontinuation & closing of services

The Company may close, stop, or discontinue the Service at any time. If it decides to stop the Service, it will notify the Customer in writing (by email or in-app notice) at least 3 months (90 days) in advance. During that notice period, the Customer must download and save all of its company data, financial records, GST files, and reports; taking that backup before the 3 months end is entirely the Customer's own responsibility.

The Company, its owners, directors, officers, and employees are not responsible for any lost data, business interruption, lost profits, or legal or tax problems arising from the closing of the Service or deletion of data.

If the Company closes the Service before a paid subscription period ends, it will refund the Customer for the unused portion of that subscription.

11. Governing law, jurisdiction & arbitration

These Terms are governed by, construed, and enforced strictly in accordance with the laws of India.

The parties will first attempt to resolve a dispute through good-faith negotiation. Failing resolution within 90 days, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by the Company. The seat, venue, and place of arbitration is Bengaluru, India, and proceedings are conducted in English. The arbitral award is final, binding, and enforceable in any court of competent jurisdiction.

Subject to that arbitration clause, the courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising under or related to these Terms.

12. Miscellaneous

Force majeure: the Company is not liable for non-performance or delays caused by acts of God, war, cyber-attacks, grid failures, cloud outages, internet service disruptions, government acts, lockdowns, or events beyond its reasonable control.

Amendments: the Company may modify these Terms at any time. Material amendments will be notified by email or in-app prompt at least 15 days in advance. Continued use of the Service after that date constitutes acceptance.

Severability & waiver: if a provision is held invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce a provision is not a waiver of it.
